Wisconsin LLC Formation: Articles, EIN, and Operating Agreement

To form an LLC in Wisconsin, you file Articles of Organization with the Department of Financial Institutions and pay $130 online or $170 by mail. Online filings are usually accepted on receipt. Before you file, you need a compliant name and a registered agent with a Wisconsin street address; after you file, you’ll want an operating agreement, an EIN from the IRS, and, depending on your business, a state tax registration. The governing statute is Chapter 183 of the Wisconsin Statutes, and the DFI handles everything on the state side.

Pick a Name the DFI Will Accept

Your proposed name has to clear two tests. It must be distinguishable from every other entity already on the DFI’s records, including corporations, partnerships, and reserved names, and it must carry a designator showing it’s an LLC. Acceptable designators include “Limited Liability Company,” “Limited Company,” “LLC,” and “LC,” and you can abbreviate “Limited” as “Ltd.” or “Company” as “Co.” Punctuation and capitalization variations are fine, so “L.L.C.” works.1Wisconsin State Legislature. Wisconsin Code 183.0112 – Permitted Names

The statute also blocks names that suggest your LLC is organized for a purpose regulated under a different Wisconsin law unless the LLC actually operates under that regulation. A name hinting at banking or insurance activity, for example, won’t be approved until the relevant regulatory requirements are satisfied.1Wisconsin State Legislature. Not ready to file yet? You can lock in a name for 120 days by submitting Form 1 (Name Reservation Application) with a $15 fee, plus $25 if you want expedited processing.2Wisconsin Department of Financial Institutions. Name Reservation Application

If you plan to do business under a name other than the LLC’s registered legal name, you can file a trademark registration with the DFI for $15 per name. The application has to be notarized, and you should enter only the words you want protected; adding “DBA” or “Doing Business As” would fold those phrases into the registered mark.3Wisconsin Department of Financial Institutions. Line Up a Registered Agent

Every Wisconsin LLC needs a registered agent and a registered office inside the state. The office must be a real physical street address; a P.O. box or mailbox service doesn’t qualify. The agent’s job is to receive legal documents on behalf of the LLC and pass them along to you.4Wisconsin State Legislature. Wisconsin Code 183.0115 – Registered Agent

The agent can be a Wisconsin resident whose business office is the registered office, or a business entity authorized to do business in Wisconsin with an office at that same address. In either case, the agent must have an email address on file with the DFI.4Wisconsin State Legislature. Wisconsin Code 183.0115 – Registered Agent

Plenty of owners serve as their own agent to save money. The tradeoff is that you need to be reachable at the registered office during business hours to accept service of process. Commercial agents typically charge $100 to $300 a year and handle this for you, which can be worth it if you don’t keep a staffed location open during the day.

File the Articles of Organization

The Articles of Organization (Form 502) are the document that actually creates the LLC. Wisconsin law requires the filing to include a statement that the LLC is organized under Chapter 183, the LLC’s name, the street and mailing addresses of the principal office, the name and addresses (street, mailing, and email) of the initial registered agent, and the name and address of each organizer. You can also set a delayed effective date up to 90 days after the DFI receives the filing if you want the LLC to start on a specific future date.5Wisconsin State Legislature. Wisconsin Code 183.0201 – Articles of Organization

Form 502 also asks whether the LLC will be member-managed or manager-managed. In a member-managed LLC every owner has authority over business decisions. In a manager-managed LLC, one or more designated managers run day-to-day operations while the other members stay passive. The choice goes on the articles and shapes how third parties deal with the company.

Online vs. Paper, and What It Costs

Online filing through the DFI’s QuickStart LLC portal costs $130, and most submissions are accepted on receipt with immediate confirmation.6Wisconsin Department of Financial Institutions. Business Entity File Online Paper filing by mail costs $170 and takes longer because the DFI processes those by hand. If you need to move faster, expedited options start at $25 for next-business-day handling and run up to $500 for one-hour service at the Madison office.7Wisconsin Department of Financial Institutions. DFI Corporation Fees Once approved, you’ll receive a stamped copy of the articles confirming the LLC’s existence and formation date.

Write an Operating Agreement

The operating agreement is the LLC’s internal rulebook. It governs the relationships between members, defines what managers can and can’t do, and sets the terms for how the company runs. You don’t file it with the DFI; it’s a private contract among the owners.8Wisconsin State Legislature. Wisconsin Code 183.0105 – Operating Agreement; Scope, Function, and Limitations

Skip it and Wisconsin’s default statutory rules fill in the gaps. Chapter 183 covers profit-sharing, voting rights, and what happens when a member leaves. The defaults are generic and won’t reflect any special arrangement about who contributes what or how profits split unevenly. Single-member owners sometimes assume an operating agreement is pointless, but having one documents that the LLC operates as a separate entity, which supports your liability protection.

There are limits to what an operating agreement can rewrite. It can’t eliminate the duty of loyalty, the duty of care, or the obligation of good faith and fair dealing, and it can’t shield anyone from liability for willful misconduct or transactions producing an improper personal profit.8Wisconsin State Legislature. Get an EIN and Register for State Taxes

Once the DFI approves your articles, apply to the IRS for an Employer Identification Number. This nine-digit number works like a Social Security number for the business. Banks require it to open a business account, and you’ll need it on federal tax returns. The IRS issues EINs free through its online application, and the process takes just a few minutes once the LLC is formed with the state.9Internal Revenue Service. If the LLC will have employees, sell taxable goods or services, or owe excise taxes, you also need to register with the Wisconsin Department of Revenue. The Business Tax Registration fee is $20 and covers most of the common permits and certificates, including seller’s permits, employer registration certificates, and use tax certificates.10Wisconsin Department of Revenue. Decide How the LLC Will Be Taxed

The IRS doesn’t have a tax category just for LLCs. It assigns a default based on the number of members, and you can change that default if a different structure works better for you.

A single-member LLC is treated as a disregarded entity, meaning income and expenses flow through to the owner’s personal return. A multi-member LLC is treated as a partnership by default, filing an informational partnership return with profits and losses passing to each member.11Internal Revenue Service. LLC Filing as a Corporation or Partnership

Either kind of LLC can elect corporate taxation by filing Form 8832. An LLC taxed as a corporation can then elect S-corporation status with Form 2553, which can lower self-employment taxes for owners who pay themselves a reasonable salary and distribute the rest without employment tax. To take effect for the current tax year, Form 2553 generally must be filed by the 15th day of the third month of that tax year, or any time during the prior year.12Internal Revenue Service. Keep the LLC in Good Standing

Wisconsin requires every LLC to file an annual report with the DFI. The report is due during the calendar quarter containing the anniversary of your formation date. Form an LLC on August 15, for instance, and your annual report is due by September 30 each year. The online fee is $25; paper filings carry an extra $15 surcharge.13Wisconsin Department of Financial Institutions. Annual Report Instructions

Missing the deadline matters. If the report stays unfiled for a full year past its due date, the DFI can start administrative dissolution proceedings. The department sends written notice to your registered agent, and you have 60 days to fix the problem. If you don’t, the DFI dissolves the LLC. Once dissolved, the company can’t conduct business, enter contracts, or defend lawsuits in its own name.14Wisconsin State Legislature. Wisconsin Code 183.0708 – Administrative Dissolution

If Your LLC Was Formed in Another State

The process above is for creating a Wisconsin domestic LLC. If your LLC was formed elsewhere and you plan to do business in Wisconsin, you don’t file Articles of Organization; you register as a foreign LLC with the DFI for $100. Whether your activities actually require registration is a judgment call, and the DFI publishes a list of activities that don’t count as transacting business in the state.15Wisconsin Department of Financial Institutions.
