Wisconsin LLC Requirements: Formation, Agent, and Annual Report

Forming and maintaining a Wisconsin LLC comes down to a short list of state requirements: file Articles of Organization with the Wisconsin Department of Financial Institutions for $130 online or $170 by paper, keep a registered agent with a physical Wisconsin address, obtain a federal Employer Identification Number, register with state tax and workforce agencies if your business triggers those obligations, and file a $25 annual report every year to stay in good standing. Each step has specifics that can trip you up, and missing certain ones can cost you the LLC itself.

Picking a Compliant Name

Your name must include “Limited Liability Company,” “Limited Company,” or an abbreviation such as “LLC” or “LC.” “Limited” can be shortened to “Ltd.” and “Company” to “Co.”1Wisconsin State Legislature. Wisconsin Code 183.0112 – Permitted Names It also has to be distinguishable from every other entity on file with the Department of Financial Institutions, including corporations, partnerships, and names already reserved by someone else.

Distinguishable means more than cosmetic. Different punctuation, a different capitalization scheme, or swapping “LLC” for “Inc.” will not satisfy the rule. Check the DFI’s online entity database before you file so you don’t lose your filing fee to a rejected name.

If you need time, you can reserve a name for 120 days by applying to the Department. The reservation is renewable and transferable.2Wisconsin State Legislature. Wisconsin Code 183.0113 – Reservation of Name It is not a prerequisite to formation, just a hold.

Filing the Articles of Organization

Your LLC comes into legal existence when the DFI accepts your Articles of Organization. Wisconsin Statute § 183.0201 requires the document to include:3Wisconsin State Legislature. Wisconsin Code 183.0201 – Formation of Limited Liability Company

  • A statement that the LLC is being organized under Chapter 183.
  • The LLC’s name, meeting the rules above.
  • The street and mailing addresses of the principal office.
  • The initial registered agent’s name, street address, mailing address, and email.
  • The name and address of each organizer.
  • A delayed effective date, if you want formation to take effect on a future date rather than at filing.

The filing uses Form 502 through the DFI website.4Wisconsin Department of Financial Institutions. Business Entity File Online Online filing costs $130; paper filing costs $170. Both fees are non-refundable.5Wisconsin Department of Financial Institutions. DFI Corporation Fees The DFI does not publish standard processing times, but expedited service is available, starting at $25 for next-business-day handling.6Wisconsin Department of Financial Institutions. Once accepted, you get a stamped copy showing your entity identification number and the effective date of formation. Hold onto it. You will need it for banking, licensing, and state tax registration.

Who Can Serve as Your Registered Agent

Every Wisconsin LLC must designate and continuously maintain a registered agent in the state to receive lawsuits, subpoenas, and government notices.7Wisconsin State Legislature. Wisconsin Code 183.0115 – Registered Agent and Registered Office The agent must be one of three things:

  • An individual who lives in Wisconsin and whose business office matches the registered office address.
  • A domestic Wisconsin corporation, LLC, limited partnership, or limited liability partnership with a business office at the registered office address.
  • A foreign entity authorized to do business in Wisconsin, again with a matching business office.

The registered office must be an actual street address. A P.O. box, mailbox service, or telephone answering service will not qualify.7Wisconsin State Legislature. Wisconsin Code 183.0115 – Registered Agent and Registered Office The agent must also keep an email address on file. You can act as your own agent if you are available at that address during business hours, or you can hire a commercial registered agent service and keep your home address out of the public record.

Why You Need an Operating Agreement

Wisconsin does not make you file an operating agreement with the state, but Chapter 183 treats it as the primary governing authority for the LLC. Where the agreement is silent, the statute’s default rules fill the gap.8Wisconsin State Legislature. Wisconsin Code 183.0105 – Operating Agreement; Scope, Function, and Limitations Those defaults may not match what you and any co-owners actually intended for profit splits, voting, or buyouts.

An operating agreement in Wisconsin can be written, oral, or implied by conduct.9Wisconsin State Legislature. Wisconsin Code 183.0102(13) – Definitions A written one is the only version that holds up well in a dispute. At a minimum it should cover how profits and losses are allocated, how decisions get made, what happens when a member dies or leaves, and how the LLC winds down. Single-member LLCs benefit from one too, because it reinforces the legal separation between you and the business.

Getting an EIN and Choosing a Tax Classification

After the state side is done, apply for a federal Employer Identification Number from the IRS. You need it to hire employees, open a business bank account, and file federal tax returns. The online application issues the number immediately.10Internal Revenue Service. Get an Employer Identification Number

By default, a single-member LLC is a disregarded entity for federal tax purposes, with business income flowing to your personal return.11Internal Revenue Service. Single Member Limited Liability Companies A multi-member LLC is taxed as a partnership and files Form 1065, with income passing through to each member.12Internal Revenue Service. You can elect S-corporation taxation by filing Form 2553 within two months and 15 days of the start of the tax year you want it to apply, or any time during the preceding tax year.13Internal Revenue Service. About Form 8832, Entity Classification Election An S-corp election can reduce self-employment taxes when an owner draws a reasonable salary, but it adds payroll work. Run the numbers with a tax professional first.

Wisconsin Tax, Workforce, and Workers’ Comp Registration

A federal EIN alone will not cover your state obligations. If your LLC will collect sales tax, withhold income tax from employees, or owe other state taxes, you must register with the Wisconsin Department of Revenue. The One Stop Business Portal lets you register with the Department of Revenue and the Department of Workforce Development in a single session.15Wisconsin Department of Revenue. Workers’ compensation coverage is required sooner than many owners expect. You must carry it from the day you hire a third employee. The requirement also kicks in with fewer employees if your combined gross wages reach $500 or more in any calendar quarter, in which case you have until the 10th day of the first month of the next quarter to put a policy in place.16Wisconsin Department of Workforce Development. Records You Must Keep at Your Principal Office

Wisconsin Statute § 183.01075 requires every LLC to maintain specific records at its principal office:

  • An alphabetical list of all current and past members and managers with their last-known addresses.
  • The Articles of Organization and any amendments, restatements, and filed articles of merger, conversion, or domestication.
  • Copies of federal, state, and local income or franchise tax returns and financial statements for the three most recent years.
  • All written operating agreements, including amendments and restatements.
  • Records of any formal consent or vote by members or managers during the past three years.
  • Descriptions and agreed values of any non-cash contributions made or promised by each member, with the timing of any additional agreed contributions.

These records matter when members disagree about who agreed to what, and when a tax or legal inquiry asks you to document the LLC’s history.

The Annual Report

Every Wisconsin LLC must file an annual report with the DFI confirming the current registered agent, principal office address, and the name of at least one member (for member-managed LLCs) or manager (for manager-managed LLCs).17Wisconsin State Legislature. Wisconsin Code 183.0212 – Annual Report for Department

The deadline follows your formation date. You file during the calendar quarter containing your formation anniversary, starting the year after formation. An LLC formed on February 15 files between January 1 and March 31 each following year. The online fee is $25. Paper filings cost an extra $15.18Wisconsin Department of Financial Institutions. Nonstock Corporation and Limited Liability Company Annual Report Missing the report is the most common compliance failure for Wisconsin LLCs, and the consequences escalate quickly.

What Happens If You Fall Behind

The Department of Financial Institutions can start administrative dissolution if you fail to file your annual report within a year of its due date, go a year without a registered agent, or fail to pay required fees within a year.19Wisconsin State Legislature. Wisconsin Code 183.0708 – Administrative Dissolution The DFI sends written notice to your registered agent and gives you 60 days to fix the problem or show it does not exist.

If you do not respond, the Department records the dissolution and your LLC loses the right to conduct business or use its name. The entity still exists for the limited purpose of winding down and applying for reinstatement.19Wisconsin State Legislature. Wisconsin Code 183.0708 – Administrative Dissolution You cannot enter new contracts in the meantime, and your liability protections are at risk.

Reinstatement requires filing every delinquent annual report, paying all outstanding fees and penalties, and submitting a reinstatement application. Waiting makes it more expensive, and your exclusive right to the name ends on the dissolution date, so another business can claim it before you come back.
