Wyoming LLC for Real Estate: Charging Order Protection, Privacy & Series Option

A Wyoming LLC for real estate gives investors three things that are hard to get together anywhere else: a charging order statute that blocks creditors from seizing property inside the LLC, public filings that don’t name the owner, and a $100 formation fee in a state with no income tax.1Wyoming Secretary of State. How Charging Order Protection Works

If you get sued personally and lose, a creditor who comes after your Wyoming LLC cannot seize the property, force a sale, or take over management. Their only remedy is a charging order, which lets them collect whatever distributions the LLC would have paid you. If the LLC doesn’t distribute, the creditor waits.2Justia. Wyoming Code 17-29-503 – Charging Order

The statute explicitly bars foreclosure on the membership interest and shuts out equitable remedies beyond the charging order itself. It also extends that protection to single-member LLCs, which matters because courts in other states have let creditors reach through single-member entities on the theory that no innocent co-members need protecting. Wyoming closed that gap by statute.2Justia. Wyoming Code 17-29-503 – Charging Order

One limit worth stating plainly: this protects the property from your personal creditors. It does not protect the LLC from claims arising out of the property itself, like a tenant slip-and-fall. For that you still need insurance.

Keeping Your Name Off the Public Record

Wyoming’s Articles of Organization don’t require you to list members or managers. The only names in the public filing are the registered agent and the organizer who signs the document.3Wyoming Secretary of State. LLC Articles of Organization Use a commercial registered agent who also serves as organizer and your name never appears in state records at all.

Federal reporting is a moving target but currently favorable. The Corporate Transparency Act had required most LLCs to report beneficial owners to FinCEN, which would have undercut Wyoming’s privacy. In March 2025 FinCEN issued an interim final rule exempting U.S.-created entities from the beneficial ownership reporting requirement.4FinCEN. Beneficial Ownership Information Reporting Because that exemption rests on an interim rule rather than a finalized regulation, watch FinCEN’s rulemaking before assuming it will stay.

One LLC or Many? The Series Option

If you hold several properties, you can either form a separate LLC for each one or use Wyoming’s series LLC under Statute 17-29-211. A series LLC is a single master entity with internal series, each holding its own assets and liabilities. A lawsuit tied to one property can’t reach assets held by another series or the master.5Justia. Wyoming Code 17-29-211 – Series of Members, Managers, Transferable Interests or Assets

The internal liability wall only holds if you meet three statutory requirements:

  • Records for each series are maintained separately from the master and from every other series.
  • The operating agreement specifically provides for the liability limitations between series.
  • The Articles of Organization give notice that the entity uses a series structure with limited liabilities.

Miss any of these and the wall collapses. The most common failure is sloppy recordkeeping: rental income and expenses from one property blending with another. In practice, give each series its own bank account, or at a minimum a clearly segregated ledger. Adding a series costs $10, and each must follow the naming conventions in the state’s administrative rules.6Wyoming Secretary of State. Forming the LLC

The Articles of Organization need three things: an entity name that includes “LLC” or “Limited Liability Company” and is distinguishable from existing filings, the Wyoming street address and name of a registered agent, and the agent’s signed consent to serve.7Wyoming Secretary of State. Wyoming Code 17-29 – Wyoming Limited Liability Company Act8Wyoming Secretary of State. How to Choose a Company Name You also elect member-managed or manager-managed on the form. For a single rental you handle yourself, member-managed is typical. For a larger portfolio or passive investors, manager-managed concentrates authority in a designated person or company.

The filing fee is $100,1Wyoming Secretary of State. Don’t Skip the Operating Agreement

Wyoming doesn’t require you to file an operating agreement, which makes drafting one more important, not less. It governs management, voting, distributions, and transfer of interests. Without one, the statutory default rules apply, and those defaults rarely match what a real estate investor actually wants.10Justia. Wyoming Code 17-29-110 – Operating Agreement; Scope, Function and Limitations For a series LLC, the operating agreement is where the series liability structure actually lives. For a single-member LLC, it’s your first argument against a creditor claiming the entity is a sham that should be disregarded.

Transferring the Property Into the LLC

The LLC does nothing for you until the property’s title is in its name. That takes a quitclaim or warranty deed with the full legal description, naming the LLC as the new titleholder, recorded in the county where the property sits. County recording fees generally run $10 to $80. Wyoming imposes no state real estate transfer tax.

Mortgaged property is the complication. Most mortgages contain a due-on-sale clause letting the lender call the loan if you transfer ownership. The federal Garn-St. Germain Act protects certain transfers from this (notably into a trust where the borrower stays as beneficiary) but does not list LLC transfers among its protected categories.11Office of the Law Revision Counsel. 12 U.S. Code 1701j-3 – Preemption of Due-on-Sale Prohibitions Fannie Mae and Freddie Mac have internal guidelines allowing transfers to LLCs controlled by the original borrower on qualifying loans, and lenders rarely enforce the clause on performing mortgages. Notifying your lender before transferring is still the safest route.

If the Property Is Outside Wyoming

This is the step most investors underestimate. A Wyoming LLC can own real estate in any state, but if the LLC is actively earning income from property in another state, that state will almost certainly require the LLC to register as a foreign entity. That means filing for a certificate of authority, appointing a registered agent in that state, and paying its registration and annual fees, typically $100 to $300 up front plus ongoing annual reports.

A vacation home with no rental income usually isn’t “transacting business” and may not trigger foreign qualification. Collecting rent, managing tenants, or running a short-term rental crosses that line in essentially every state.

Skipping registration doesn’t void the LLC’s ownership, but many states bar unregistered foreign LLCs from filing suit in state court. You may not be able to evict a tenant or enforce a contract until you register and pay back fees, and some states add penalties for the period of unregistered operation. If your Wyoming LLC will hold income-producing property in another state, budget for foreign qualification there.

Annual Report and Keeping the LLC Alive

Every Wyoming LLC files an annual report with the Secretary of State, due on the first day of the month in which the LLC was originally formed. File on September 15 and the report is due every September 1 after that.12Wyoming Secretary of State. Annual Report

The report doubles as a license tax. The minimum is $60, which covers any LLC with $300,000 or less in Wyoming-located assets. Above that, the rate is two-tenths of one mill per dollar of Wyoming assets, or $0.0002 per dollar.1Wyoming Secretary of State. Wyoming Secretary of State Business Division Filing Fee Schedule For an investor whose actual real estate sits in other states, the Wyoming asset value is often minimal, keeping the annual cost at $60.

Missing the deadline opens a 60-day grace period. After that, the state administratively dissolves the LLC. Reinstatement is generally available by filing overdue reports and paying fees, but during the dissolved period you lose the entity’s protections. If a suit lands on the property while the LLC is inactive, that gap is exactly where the protection you paid for falls apart.

What the LLC Does and Doesn’t Do for Taxes

Wyoming has no state income tax, so the LLC owes nothing to the state on rental income or sale gains. Federal taxes work the same way they would without the LLC. A single-member LLC is a disregarded entity for federal tax purposes; rental income and expenses flow to Schedule E of your Form 1040.13Internal Revenue Service. Single Member Limited Liability Companies A multi-member LLC files Form 1065 as a partnership and issues K-1s. Either can elect corporate taxation, though that rarely helps a straightforward rental.

Putting property into a Wyoming LLC doesn’t change your federal tax bill. Depreciation, deductions, and reporting look the same. The LLC is a liability shield and a privacy tool. Treat it that way and the structure earns its keep.
